Terms of Use

1. About Sulpot

Sulpot is an academic capstone project, not a registered company. It was developed by Christian Virgil Torres, Derone Ligutan, Danielle Angeli Blanco, and John Kerby Basa, students of the Bachelor of Science in Information Technology program at Adamson University, under the supervision of Charlene Vergara.

Sulpot is not incorporated, has no business registration, and does not trade. It is currently in a closed testing phase open only to invited testers. Nothing on Sulpot is a commercial offering.

By creating an account you agree to these Terms and to the Privacy Policy. If you do not agree, please do not use Sulpot.

2. What Sulpot provides — and what it does not

Sulpot is a listing and coordination platform for pop-up markets and events in the Philippines. It lets vendors list pop-ups, lets hosts run events and review vendor applications, and gives the two a place to find each other and communicate.

• Sulpot does not process, hold, transfer, or escrow any payment.
• Sulpot does not guarantee any event, booth, sale, or income.
• Sulpot does not inspect venues, goods, or permits.
• Sulpot does not insure anyone against loss, damage, or injury.

3. Eligibility and your account

• You must be at least 18 years old.
• You must give accurate information and keep it current.
• One account per person. Do not impersonate anyone or misrepresent your business.
• You are responsible for your account's security and for everything done through it. Tell us immediately if you suspect unauthorised access.
• Sulpot is currently in closed testing and available only to invited testers. Access may change or end at any time.

4. If you are a vendor

• Describe your products honestly, and use photos that are genuinely yours.
• Hold every permit and licence your goods require — business registration, BIR registration, sanitary permits for food, and any local permit the venue or LGU requires. Sulpot does not check these, and their absence is your responsibility alone.
• Honour the commitments you make to hosts. If you cannot attend an event you have been accepted to, tell the host as early as possible.
• Pay booth fees directly to the host through the channel they nominate, and upload truthful proof of payment.
• You are solely responsible for the safety, quality, and legality of what you sell, and for your own tax obligations.

5. If you are a host

• Describe your event accurately — venue, dates, fees, capacity, and what vendors receive for their fee.
• Hold the permits and authority needed to run the event at that venue, and comply with all local requirements.
• Give accurate payment channel details. You receive vendor payments directly; Sulpot never holds them.
• Review vendor applications fairly and within a reasonable time.
• If you cancel, tell affected vendors promptly and settle any refunds you owe them directly.
• You are responsible for the safety and lawful operation of your event, and for handling any personal data you collect from vendors outside Sulpot.

6. Payments

• Sulpot charges you nothing. There are no fees, commissions, or subscriptions.
• A proof-of-payment record in Sulpot is not proof that money actually moved. Only your bank or e-wallet can confirm that.
• A host confirming a payment in Sulpot is that host's statement, not Sulpot's verification.
• If a payment goes wrong, resolve it with your bank or e-wallet provider and with the other party. Sulpot cannot reverse, refund, or recover a payment, because it never held it.
• Never send money to anyone claiming to be Sulpot staff. We will never ask you to pay us.

7. Booth reservations, cancellations, and refunds

When you reserve a booth slot it is held for you for a limited period set by the host. If you have not submitted proof of payment before the hold expires, the slot is released automatically and becomes available to others. An expired hold is not a debt and costs you nothing.

If a host cancels an event, they are responsible for refunding vendors who have paid. If a vendor withdraws, whether the fee is returned is between them and the host. Sulpot will, on request, provide either party with the records it holds about their own reservation and payment submissions.

8. Prohibited activities

You must not use Sulpot to list, sell, promote, or arrange:

• Anything illegal under Philippine law.
• Weapons, ammunition, explosives, or dangerous chemicals.
• Illegal drugs, controlled substances, or drug paraphernalia.
• Alcohol, tobacco, or vaping products without the licences their sale requires.
• Food prepared without the sanitary permits required for public sale.
• Counterfeit, pirated, or stolen goods, or anything infringing another's intellectual property.
• Live animals, or any wildlife or product restricted under conservation law.
• Adult or sexually explicit material.
• Medicines, supplements, or medical devices without proper FDA registration.
• Anything requiring a licence or permit that you do not hold.

You must also not:

• Harass, threaten, defame, or discriminate against anyone.
• Submit forged, altered, or another person's identity documents.
• Post false payment proofs or misrepresent a payment.
• Create fake events, fake accounts, or fake reviews.
• Scrape, copy, or bulk-collect other users' data.
• Attempt to break, overload, probe, or gain unauthorised access to Sulpot.
• Use Sulpot to send spam or unsolicited marketing.

9. Your content

You keep ownership of everything you upload — your photos, event descriptions, and business information remain yours.

By uploading, you grant the project team a non-exclusive, royalty-free licence to store, display, and reproduce that content for two purposes only: (a) operating Sulpot and showing your content to other users as you intend, and (b) academic presentation — including screenshots and demonstrations in the capstone documentation, defence, and evaluation before faculty and panellists.

The licence ends when you delete the content or your account, except for copies already embedded in submitted academic documentation, which cannot be retracted after submission.

10. Verification

Applying to be a vendor or host means submitting identity documents for review. Verification is a basic identity check only — it confirms that documents were submitted and reviewed. It is not an endorsement, a guarantee of trustworthiness, a credit check, or a warranty of anyone's competence or honesty. Treat a verified badge as one small signal, not a reason to skip your own due diligence.

We may reject an application, ask for more information, or revoke verification if we believe documents are false or circumstances have changed.

11. Suspension and termination

We may suspend or terminate an account that:

• Breaks these Terms or the prohibited-activities list.
• Submits forged or fraudulent documents or payment proofs.
• Harasses, defrauds, or endangers other users.
• Attempts to compromise Sulpot's security.
• Is the subject of credible, repeated reports from other users.

Appeals. If your account is suspended and you believe it was wrong, email christianvirgiltorres@gmail.com. We will review it and reply within 15 working days. Because Sulpot is run by four students alongside their studies, we cannot promise faster.

You may close your own account at any time in Settings — see §11 of the Privacy Policy for exactly what is deleted and when.

12. Disclaimers

To the fullest extent Philippine law allows, we are not responsible for:

• The conduct of any user, whether on Sulpot or in person at an event.
• Whether an event happens, is safe, is lawfully permitted, or meets expectations.
• The quality, safety, or legality of anything sold by a vendor.
• Any payment dispute, non-payment, or failure to refund.
• Injury, illness, theft, or property damage occurring at any event.
• Loss of profits, sales, or business opportunity.
• Data loss, downtime, or errors in the application.

13. Limitation of liability

Sulpot is provided free of charge by students as coursework. Nobody earns anything from it. To the fullest extent permitted by Philippine law, the total liability of the project team and its members, taken together, for any claim connected with Sulpot is limited to one thousand pesos (₱1,000.00).

Adamson University and Charlene Vergara are not parties to these Terms and accept no liability for your use of Sulpot.

Nothing in these Terms excludes liability that cannot lawfully be excluded — including liability for fraud, for wilful misconduct, or for death or personal injury caused by negligence.

14. Disputes

Between users: resolve it directly with the other party. Sulpot is not an arbitrator and will not adjudicate. On request we will provide either party with the records we hold about their own transaction, which may help. Report suspected fraud to the authorities and to us.

These Terms are governed by the laws of the Republic of the Philippines, and any dispute not resolved informally is subject to the exclusive jurisdiction of the courts of the City of Manila. Privacy complaints may also go to the National Privacy Commission (see §13 of the Privacy Policy).

15. Changes to the service and these Terms

Because Sulpot is an active academic project, features may change, be added, or be removed at any time, and the service may be discontinued when the capstone concludes. If it is discontinued we will give registered users reasonable notice by email, and personal data will be handled as described in §9 of the Privacy Policy.

We may update these Terms. The version and effective date at the top will change, and for material changes we will notify registered users by email. Continuing to use Sulpot after a change means you accept the updated Terms.
